The International Trading System Limited (ITS) hereby informs on the delisting risk of ordinary shares of Curis, Inc. (ISIN US2312693094, Shares) from The NASDAQ Stock Market LLC (Nasdaq).  

Information on delisting risk of ordinary shares by Nasdaq

On February 27, 2025 Curis, Inc. (the Company) submitted Current report Form 8-K to The United States Securities and Exchange Commission (SEC). According to the report, on February 21, 2025, the Company received a written notice from Nasdaq notifying the Company that it was not in compliance with the Nasdaq Listing Rule 5550(b)(2) (MVLS Requirement), as the market value of the Company’s listed securities had been below $35,000,000 for the last 30 consecutive business days.

The Company has 180 days from receipt of the Notice to regain compliance with the MVLS Requirement. The Company provides no assurance that it will be able to regain compliance or otherwise maintain compliance with Nasdaq’s other listing requirements. Company’s financial position risk

In a quarterly report for the period ended September 30, 2024 the Company’s management expressed a substantial doubt about its ability to continue as a going concern for a period of at least 12 months.

Information regarding possible actions to be taken by ITS Ltd.

If Nasdaq suspends trading in the Company’s ordinary shares, ITS will prohibit submission of orders and will restrict ability to conclude agreements in respect of the Company’s ordinary shares. If the Company’s ordinary shares are delisted from Nasdaq, ITS will terminate trading in the Company’s ordinary shares. However, in case the Company’s ordinary shares become listed, or admitted to trading on another Recognised Trading Venue, ITS will consider but does not guarantee continuation of trading in the Company’s ordinary shares.
