On a corporate action affecting ordinary shares of Discover Financial Services (DFS)

On October 17, 2024, Discover Financial Services entered into a merger agreement under which it will be acquired by Capital One Financial Corporation. Discover Financial Services stockholders will receive 1.0192 shares of Capital One Financial Corporation for each share of Discover Financial Services that they own. Transaction is expected to close in the first quarter of 2025 if it is approved by stockholders on the Special Meeting of Stockholders to be held on February 18, 2025.
