On the risk of delisting of ordinary shares of Elme Communities (ELME)

The International Trading System Limited (ITS) informs on the delisting risk of ordinary shares of Elme Communities (ISIN US9396531017, QI) from the New York Stock Exchange LLC (NYSE).

Information regarding the Company’s dissolution

On October 30, 2025 Elme Communities (Company) held a special meeting of shareholders where they approved the sale of 19 multifamily properties of the Company; the sale or disposition of all the Company’s assets, winding down the Company’s business and affairs and terminating the Company’s existence by voluntary dissolution; and the compensation that may be paid or the Company's executive officers.

On November 26, 2025 the Company announced that its Board of Trustees had approved a special liquidating distribution of $14.67 per share (Special Dividend). The Special Dividend will be paid on January 7, 2026 to shareholders of record at the close of business on December 22, 2025. The Special Dividend is being made in accordance with the Company’s voluntary Plan of Sale and Liquidation previously approved by its shareholders.

Information regarding the QI's status on NYSE

In connection with the Plan, the Company anticipates that it will voluntarily delist its common shares from the NYSE and file a Form 15 with the The United States Securities and Exchange Commission.

Information regarding the actions taken by ITS

ITS will publish separate notices on the procedures undertaken by ITS outlining how trading in these qualified investments will be carried out.

In view of the potential termination of trading on NYSE, ITS prohibited submission of Orders in respect of the Company’s ordinary shares in the all Trading Modes and restrict ability to conclude Agreements based on such Orders effective on September 26, 2025. Following delisting of the Company’s common stock from NYSE, ITS will terminate trading in the QI.
