On the risks of investing in ordinary shares of iRobot Corporation (IRBT)

he International Trading System Limited (ITS) informs trading members of the high risks associated with investing in ordinary shares of iRobot Corporation (Company, IRBT), including loosing value by shareholders if the Company decides to file for bankruptcy, and eventually cessation of trading in IRBT stocks (ISIN US4627261005) on ITS in case of its delisting from Nasdaq.

Updated information regarding the company’s financial position

On December 01, 2025, iRobot Corporation (Company) submitted a report to The United States Securities and Exchange Commission (SEC). In the report the Company announced that all overdue obligations under its credit arrangements have been deferred until January 15, 2026. The deferral provides limited temporary relief and does not address the underlying liquidity constraints or the deteriorated financial condition of the Company.

Significant uncertainty remains regarding the Company’s ability to achieve any consensual resolution with its creditors to obtain the capital required to support ongoing operations. There is a substantial risk that the situation will not be resolved outside of a formal bankruptcy process.

In the event a bankruptcy proceeding becomes necessary, it is expected that no recovery would be available to investors, and the entire value of their investment would be lost.

Information regarding the actions taken by ITS

In view of the Company’s bankruptcy risk, ITS limited short selling starting from October 30, 2025 and shifted the opening of trading in respect of the Company’s ordinary shares in the Main Trading Mode to 20:30 Astana time on every trading day starting from November 3, 2025.

If Nasdaq suspends trading in the Company’s ordinary shares, ITS will prohibit submission of orders and will restrict ability to conclude agreements in respect of the Company’s ordinary shares. If the Company’s ordinary shares are delisted from Nasdaq, ITS will evaluate the situation. In case the Company’s ordinary shares become listed, or admitted to trading on another Recognised Trading Venue, ITS will consider but does not guarantee continuation of trading in the Company’s ordinary shares. Otherwise, ITS will terminate trading in the Company’s ordinary shares.
