On the forthcoming liquidation of Guardion Health Sciences, Inc. (GHSI)

Information regarding the QI's status on the foreign stock exchange

The International Trading System Limited (hereinafter – ITS) hereby informs on the forthcoming liquidation of Guardion Health Sciences, Inc. (hereinafter – the Company) and delisting of its ordinary shares (GHSI, hereinafter – QI) from The NASDAQ Stock Market LLC (hereinafter – Nasdaq).

On October 3, 2024 the Company submitted a current report on Form 8-K to The United States Securities and Exchange Commission (hereinafter – SEC). According to the report, at a special meeting, the stockholders of Guardion approved the adoption of a Plan of Liquidation and Dissolution following the completion of the sale of the Company’s brand and business. As a result, the Company is expected to file a certificate of dissolution with the Delaware Secretary of State on October 22, 2024.

On October 11, 2024 the Company filed Form 25 with the SEC to remove GHSI common stock from listing and registration on Nasdaq.

Information regarding the actions taken by ITS Ltd.

ITS made a decision to terminate trading in the QI effective October 23, 2024 subject to the Company’s dissolution coming into effect as expected.
