On the forthcoming delisting of ordinary shares of iRobot Corporation (IRBT)

The International Trading System Limited (ITS) informs of the forthcoming delisting of ordinary shares of iRobot Corporation (ISIN US4627261005, QI) from The NASDAQ Stock Market LLC (Nasdaq).

Information regarding the QI's status on Nasdaq

On December 14, 2025 iRobot Corporation (Company) issued a press release announcing that the Company filed voluntary petitions to commence proceedings under chapter 11 (Chapter 11 Case) of title 11 of the United States Bankruptcy Code. On December 15, 2025, the Company submitted a report on Form 8-K to The United States Securities and Exchange Commission (SEC). According to the report, Nasdaq had determined to delist the Company’s common stock. The Company does not intend to appeal this determination.

Trading of the Company’s common stock will be suspended at the opening of business on December 22, 2025, and a Form 25-NSE will be filed with the SEC, which will remove the common stock from listing and registration on Nasdaq.

Information regarding the actions taken by ITS

ITS will publish separate notices on the procedures undertaken by ITS outlining how trading in these qualified investments will be carried out.

In view of the Chapter 11 proceedings, ITS shifted the opening of trading in respect of the QI to 19:30 and to move the closing of trading in respect of the QI to 01:00 (Astana time). The changes are applied on every trading day in the Main Trading Mode starting from December 16, 2025.

When the Company’s ordinary shares are delisted from Nasdaq, ITS will terminate trading in the Company’s ordinary shares. However, in case the Company’s ordinary shares become listed, or admitted to trading on another Recognised Trading Venue, ITS will consider but does not guarantee continuation of trading in the Company’s ordinary shares.
