On December 23, 2024 Comtech Telecommunications Corp. (Company) submitted Current report Form 8-K to The United States Securities and Exchange Commission (SEC). According to the report, on December 18, 2024, the Company received a delinquency notification letter (Notice) from the Listing Qualifications Department of Nasdaq notifying the Company that due to the delay in filing the Company’s Quarterly Report on Form 10-Q for the quarter ended October 31, 2024 (Form 10-Q) by the required extended due date of December 16, 2024, the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (Rule), which requires listed companies to timely file all periodic financial reports with the SEC.
The Notice provides that the Company has 60 calendar days from the date of the Notice to submit to Nasdaq a plan to regain compliance with the Rule. If Nasdaq accepts the plan, Nasdaq may grant the Company an exception of up to 180 calendar days from the due date of the Form 10-Q to regain compliance. ITS conducts regular monitoring of the relevant information disclosed by the Company. Delisting of the Company’s QI by Nasdaq will be considered to constitute a breach of the ITS Regulations on admitting financial instruments to trading and result in termination of trading in the QI on ITS.
