Information on delisting risk of ordinary shares by NYSE
On August 16, 2024 Compass Minerals International, Inc. (hereinafter – Company) submitted Current report on Form 8-K to The United States Securities and Exchange Commission (hereinafter – SEC). According to the report, on August 15, the Company had received notification from NYSE that the Company was not in compliance with Section 802.01E of the NYSE Listed Company Manual as a result of its failure to timely file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2024.
Under NYSE rules, the Company has six months from August 15, 2024, to regain compliance with the NYSE listing standards by filing the Form 10-Q with the SEC. If the Company fails to file the Form 10-Q within the six-month period, the NYSE may grant, in its sole discretion, an extension of up to six additional months for the Company to regain compliance, depending on the specific circumstances. ITS Ltd. (hereinafter – ITS) conducts regular monitoring of the relevant information disclosed by the Company. Delisting of the Company’s securities (hereinafter – Qualified Investments) by NYSE will be considered to constitute a breach of the ITS Regulations on admitting financial instruments to trading and result in termination of trading in the Qualified Investments on ITS.
